These Terms and Conditions (“Terms”) govern your access to and use of LegalPro (the “Platform” or “Services”), a legal practice management solution developed and provided by Echo Systems Network Ltd (“Echo Systems”, “we”, “us”, or “our”).

By accessing or using LegalPro, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Acceptance of Terms

By using the Services, you confirm that:

  • You are at least 18 years old or the legal age of majority in your jurisdiction;
  • You have the legal capacity to enter into a binding agreement;
  • If acting on behalf of a law firm, company, or organization, you have authority to bind that entity to these Terms.

If you do not meet these requirements, you must not access or use the Platform.

2. Description of Services

LegalPro is an enterprise-grade legal practice management platform designed to support:

  • Case and matter management
  • Client management
  • Document and evidence management
  • Billing and subscription management
  • Hearing and calendar scheduling
  • Internal collaboration and reporting

Echo Systems Network Ltd reserves the right to modify, enhance, or discontinue any aspect of the Services at its discretion.

3. Use of Services

You agree to use the Services solely for lawful purposes and in compliance with all applicable laws, regulations, and professional conduct rules.

You must not:

  • Violate any applicable local, national, or international laws;
  • Use the Platform in a way that could damage, disable, or impair the system;
  • Attempt unauthorized access to servers, systems, or data;
  • Upload malicious software, viruses, or harmful code;
  • Use the Platform in breach of client confidentiality or professional obligations.

You are solely responsible for how your organization uses the Platform.

4. User Accounts

You may be required to create an account to access certain features.

You are responsible for:

  • Maintaining the confidentiality of login credentials;
  • Restricting unauthorized access to your account;
  • All activities conducted under your account.

You must notify us immediately of any suspected unauthorized access or security breach.

5. Payment and Billing

Where subscription fees apply:

  • Fees are payable in advance unless otherwise agreed;
  • All pricing is subject to change upon reasonable notice;
  • Failure to make timely payment may result in suspension or termination of access;
  • All payments are non-refundable unless otherwise stated in a written Refund Policy;
  • You are responsible for applicable taxes and statutory charges.

Enterprise clients may be governed by separate commercial agreements or Service Level Agreements (SLAs).

6. Intellectual Property

LegalPro is proprietary software developed, owned, and operated by Echo Systems Network Ltd.

All intellectual property rights, including but not limited to software architecture, branding, design, code, and system features, remain the exclusive property of Echo Systems Network Ltd and/or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for lawful business purposes only.

You may not:

  • Reproduce, reverse-engineer, distribute, or modify the Platform;
  • Use our trademarks without prior written consent;
  • Resell or sublicense the Services without authorization.

7. Data Protection & NDPR Compliance

Echo Systems Network Ltd is committed to protecting personal data in accordance with:

  • The Nigeria Data Protection Act (NDPA) 2023
  • The Nigeria Data Protection Regulation (NDPR)
  • Other applicable data protection laws

7.1 Roles

  • The subscribing law firm acts as the Data Controller for client data uploaded to the Platform.
  • Echo Systems Network Ltd acts as a Data Processor, processing data solely on documented instructions of the subscribing firm.

7.2 Security Measures

We implement appropriate technical and organizational safeguards, including:

  • Data encryption in transit;
  • Role-based access controls;
  • Secure authentication protocols;
  • Access logs and audit trails;
  • System monitoring and backups;
  • Disaster recovery procedures.

7.3 Data Use Limitation

We do not access or use client data except:

  • To provide and maintain the Services;
  • As required by law;
  • As instructed by the subscribing firm.

7.4 Data Breach Notification

In the event of a verified data breach affecting personal data, we will notify the affected organization in accordance with applicable Nigerian data protection laws.

8. Confidentiality (Law Firm-Specific)

LegalPro is designed for use within professional legal environments where confidentiality is paramount.

8.1 Ownership of Client Data

All client files, legal documents, case materials, and data uploaded remain the exclusive property of the subscribing firm.

Echo Systems claims no ownership rights over such content.

8.2 Non-Disclosure

Echo Systems Network Ltd shall not:

  • Disclose confidential information to third parties;
  • Use client data for commercial exploitation;
  • Access privileged information except where strictly required for system support.

8.3 Professional Responsibility

The subscribing firm remains responsible for:

  • Ensuring compliance with professional conduct rules;
  • Assigning appropriate access rights to users;
  • Protecting privileged communications.

9. Termination and Suspension

We reserve the right to suspend or terminate access to the Services if:

  • You breach these Terms;
  • Your use creates security risks;
  • We are required to do so by law;
  • The Services are discontinued.

Upon termination, access rights cease immediately.

10. Enterprise Use and Service Standards

LegalPro is designed for use by small, medium, and large law firms.

10.1 Availability

We strive for high availability but do not guarantee uninterrupted access.

10.2 Service Level Agreements

Enterprise subscribers may enter into separate Service Level Agreements outlining uptime guarantees and support commitments.

10.3 Updates and Improvements

We may deploy updates, security patches, and feature enhancements without prior notice where necessary for system integrity.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Services are provided “as is” and “as available.”
  • Echo Systems Network Ltd shall not be liable for indirect, incidental, special, or consequential damages.
  • Total liability shall not exceed the amount paid by you within the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Echo Systems Network Ltd, its directors, employees, affiliates, and partners from any claims, losses, damages, or expenses arising from:

  • Your use of the Services;
  • Your violation of these Terms;
  • Breach of applicable laws or professional obligations.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

Any disputes arising from these Terms or use of the Services shall be subject to the exclusive jurisdiction of the courts of Nigeria.

Where appropriate, disputes may first be resolved through mediation or arbitration within Nigeria.

14. Modifications to Terms

We reserve the right to update or modify these Terms at any time.

Changes become effective upon publication on the Platform. Continued use of the Services constitutes acceptance of the revised Terms.
